Terms of Service

The terms and conditions governing your use of Refines's proposal platform and services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Refines ("we," "our," or "us") governing your access to and use of our website, AI-powered proposal platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Refines provides an AI-powered platform designed to help organizations analyze requests for proposals (RFPs) and create winning proposal responses. Our Services include, but are not limited to:

  • AI-powered RFP analysis and requirement extraction
  • Smart proposal content generation
  • Collaboration tools for proposal teams
  • Proposal template management
  • Knowledge base creation and management
  • Analytics and reporting on proposal performance

3. Account Registration and Eligibility

To access certain features of our Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to maintain and update this information.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into this agreement
  • You will use the Services in accordance with these Terms

4. Subscription Plans and Payment

We offer various subscription plans to access our Services. The features available to you depend on the subscription plan you select.

By selecting a paid subscription plan, you agree to pay all fees associated with your selected plan. All payments are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our subscription fees at any time. Any changes to subscription fees will take effect at the start of the next billing cycle. We will provide reasonable notice of any fee changes.

5. Trial Period

We may offer a free trial period for certain subscription plans. If you sign up for a trial, you will have access to the features included in that subscription plan for the duration of the trial period.

At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. You will be charged the applicable subscription fee for the plan you selected at the beginning of the next billing cycle.

6. AI Content Generation and Usage Rights

Our Services use artificial intelligence to analyze RFPs and generate proposal content. By using our Services, you understand and agree that:

  • Content generated by our AI is provided as a starting point and may require review and editing
  • You are responsible for reviewing and approving all AI-generated content before use
  • We grant you a perpetual, worldwide, non-exclusive, transferable license to use, modify, and distribute AI-generated content created for you through our Services
  • We make no representations about the accuracy, legality, or appropriateness of AI-generated content for your specific use case

7. Your Content and Data

To provide our Services, you may upload or create content including RFP documents, proposal drafts, company information, and other materials ("Your Content"). You retain ownership of Your Content.

By uploading or creating content on our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving our Services.

You represent and warrant that: (i) you own Your Content or have the right to use it and grant us the rights in these Terms; and (ii) Your Content does not violate the law or infringe the rights of any third party.

8. AI Training and Data Usage

To improve our Services, we may use anonymized and aggregated data derived from your use of the Services to train and enhance our AI models. This process does not involve sharing your specific content with other customers.

You may opt out of having your data used for AI training by contacting us at privacy@Refines. Opting out will not affect your ability to use our Services.

9. Confidentiality

We understand that your proposal information is sensitive and confidential. We will:

  • Treat Your Content as confidential information
  • Not disclose Your Content to unauthorized third parties
  • Implement reasonable security measures to protect Your Content
  • Restrict access to Your Content to employees and contractors who need access to provide the Services

10. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit any material that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use our Services in any manner that could damage, disable, overburden, or impair our systems
  • Generate content that is illegal, harmful, or violates our content policies

11. Termination

We may terminate or suspend your account and access to our Services for any reason, including if you violate these Terms.

You may terminate your account at any time by following the instructions on our website or contacting us at support@Refines.

Upon termination, you will lose access to our Services, and we may delete Your Content after a reasonable period unless you request otherwise before termination.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our Services

13. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted or error-free, that defects will be corrected, or that our Services or the server that makes them available are free of viruses or other harmful components.

14. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
